These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Services") provided by MediNova Technologies LLC ("GoMediNova," "we," "us," or "our"), a company organized under the laws of the State of Colorado, United States.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

GoMediNova provides cloud-based healthcare technology solutions, including but not limited to telehealth platforms, electronic health records (EHR), clinic management software, patient portals, healthcare analytics, AI-powered clinical tools, and related services. Our Services are designed for use by healthcare providers, clinics, hospitals, and healthcare organizations.

3. Account Registration

  • You may be required to create an account to access certain features of our Services.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in violation of any applicable law or regulation, including healthcare regulations
  • Access or attempt to access another user's account without authorization
  • Interfere with, disrupt, or compromise the integrity or security of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit malware, viruses, or other harmful code
  • Use automated systems (bots, scrapers) to access the Services without our written consent
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services
  • Use the Services for purposes other than their intended healthcare-related functions

5. Healthcare-Specific Terms

5.1 Not Medical Advice

Our Services provide tools for healthcare professionals and organizations. The platform does not provide medical advice, diagnoses, or treatment recommendations to patients. Healthcare decisions remain the responsibility of qualified healthcare providers using the platform.

5.2 AI-Powered Features

Our platform includes AI-powered features such as clinical decision support, predictive analytics, and automated documentation. These features are designed to assist healthcare professionals and should not replace professional medical judgment. AI-generated suggestions and insights should always be reviewed and validated by qualified healthcare providers before clinical application.

5.3 Compliance

Healthcare providers using our platform are responsible for ensuring their use complies with all applicable healthcare laws and regulations in their jurisdiction. We provide tools and infrastructure to support compliance but do not guarantee compliance on behalf of our users.

5.4 Business Associate Agreement

Healthcare providers who process Protected Health Information (PHI) through our platform may be required to enter into a Business Associate Agreement (BAA) with us. The BAA supplements these Terms with respect to PHI handling.

6. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, software, and source code, are the property of MediNova Technologies LLC and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any content from our Services without our prior written consent.

7. Data Ownership

  • Your Data: You retain ownership of all data you submit to or generate through our platform. We do not claim ownership over your data, including patient records and clinical information.
  • License to Us: You grant us a limited license to process, store, and transmit your data solely for the purpose of providing the Services to you.
  • Aggregated Data: We may use de-identified, aggregated data for analytics, research, and service improvement purposes. Such data will not identify any individual patient or organization.

8. Payment Terms

  • Subscription fees are billed according to the plan selected during onboarding.
  • All fees are non-refundable unless otherwise stated in your subscription agreement.
  • We reserve the right to modify pricing with 30 days' advance notice.
  • Failure to pay may result in suspension or termination of your account.

9. Service Availability

We strive to maintain 99.9% uptime for our platform. However, we do not guarantee uninterrupted access and are not liable for any downtime, whether scheduled or unscheduled, due to maintenance, updates, or circumstances beyond our reasonable control.

10. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your access if you violate these Terms or engage in conduct that we determine is harmful to other users, us, or third parties.
  • Upon termination, your right to use the Services ceases immediately. We will provide a reasonable period to export your data before deletion.

11. Limitation of Liability

To the maximum extent permitted by law, MediNova Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the total amount you paid to us during the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted.

13. Indemnification

You agree to indemnify and hold harmless MediNova Technologies LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or rights of a third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or via email. Your continued use of the Services after changes are posted constitutes your acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and MediNova Technologies LLC regarding the use of our Services.
